1. Definitions

“SysOMS”, “we” or “us” means the operator of this platform. “You” or “Customer” means the company that subscribes to the platform, and its authorised users.

2. Access and accounts

Access is granted to named users authorised by your company administrator.

You are responsible for keeping credentials confidential and for actions taken under your users' accounts.

We may suspend an account that is used to breach these terms or applicable law.

3. Fees and billing

Charges, billing period and included usage are as stated on your order confirmation or on the pricing page.

Fees are payable in advance for each billing period, in Indian Rupees, unless agreed otherwise in writing. Taxes such as GST are charged in addition, where applicable.

If payment fails or is not received, access may be restricted after written notice.

4. Acceptable use

Do not attempt to breach access controls, reverse engineer the platform, or resell access without written agreement.

Do not upload unlawful content, malware, or personal data you are not entitled to process.

Do not use the platform to send unsolicited bulk email.

5. Your data

You own the data you enter. We process it only to provide the service and as described in the Privacy Policy. You may export your data at any time, and you may request deletion when your subscription ends.

6. Availability and support

We aim for high availability and provide support on business days. Planned maintenance is notified in advance where practical. Support requests are raised at support@sysoms.online.

7. Intellectual property

The platform, its software, design and documentation remain our property. No rights are transferred other than the limited right to use the platform during your subscription.

8. Limitation of liability

The platform supports your commercial decisions but does not replace your own commercial, technical or legal judgement. To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by you in the twelve months preceding the claim, and we are not liable for indirect or consequential loss, including lost profits.

9. Termination

Either party may terminate at the end of a billing period with written notice. We may terminate immediately for non-payment or material breach. Refunds, where applicable, follow the Refund & Cancellation Policy.

10. Governing law

These terms are governed by the laws of India, and the courts at our registered place of business have exclusive jurisdiction.
